Check out the College Art Association's "Guidelines Adopted by CAA Regarding the Hiring by Museums of Guest Curators, Exhibitor/Artists, and Catalogue Essayists as Outside Contractors" on their website under Standards and Guidelines (link below). It's a great summary of all the issues to consider when putting together a contract -- you may not need to address all the issues in your contract but it's good to at least think about them when putting together a contract. And, although it's written from an institutional point of view, as an independent curator, I've used these guidelines when I've been asked to put together a contract. The guidelines also cover working with an exhibitor/exhibiting artist and for writing a catalogue/essay.
