We are a small organization in New York State that is in the process of
becoming a not-for-profit corporation and we are wondering what other
not-for-profit organizations do, if anything to indemnify Board members?
 
The organization is a reenactment group with a purpose of educating on
what life would have been like in the mid 1600's to the mid 1800's.  
 
I was wondering if anyone had an indemnity clause in their By-laws or
constitution and if so would be willing to share the verbiage.  
 
I belong to another historical society and cannot find any clause in
those by-laws or constitution that would indemnify Board members.
