The answer to your questions is to be found not in abstractions
such as rationality, merit, analysis, democratic process, etc.,
but instead in "academic governance."  If you choose to look
into this process (wear HAZMAT gear) you will find corporate
life at its most Hobbesian; seamy, sordid, and vicious.  The
private sector could learn.  The last three years in the former
Yugoslavia seem like a Beatrix Potter book by comparison.
