Hi Aran.
I've been through this twice now. And it hurts less each time. Really!
If you're in California, check out NoloPress.com - they have a handy book on
the basics, and one version comes with the boiler plate text on disk.
Also, check out the the Corporate Code for your state - all the rules are
there for non-profit public benefit organizations. There are a lot of rules
that seem cumbersome, but as they are state law, it's good to know them.
We also bought a copy of a book about writing bylaws that I found in a
browser search... can't remember the title, but it really helped. Written by
