This is an issue I would definitely take up on one of
the Charity Channel fora
(http://www.charitychannel.com/forums ). One of the
real pluses of that group is there are many nonprofit
attorneys who are phenomenal about giving excellent
counsel on such matters on a pro bono basis. Off the
top of my head, I would probably take it up on the
Charitylaw and/or Boards lists, but I'm doing this
from memory, so you'll have to check the link above to
find the best fit for you.
