One of former board presidents was a lawyer, and he rewrote ours a couple of years ago. That may not be much help to you, but I would suggest trying to find a lawyer within your membership or locally that is interested in your museum and that would be willling to write them pro bono. But that's just me, because I've always been intimidated by trying to write in legal language.

Having just reviewed our museum bylaws I see that they are completely out of
date.  In addressing revision of these bylaws with our museum board of
trustees I seek guidance and/or reference materials for developing these
important institutional documents.  Any suggestions for reference guides or
samples are greatly appreciated.  Many thanks in advance for your assistance.
