I used to work in a state university's art museum, but the museum had a separate 501(c)(3) exemption.  This was something that was negotiated by the Director--it didn't used to be that way.  The Museum board was essentially all university personnel with one or two members appointed from the university trustees, and they reported back to the university trustees.  The museum received an appropriation from the university and within limits could apply for grants on its own (IMLS, NEA) and coordinate with the university's office of research and sponsored programs.  The university foundation coordinated efforts to solicit from corporations and private donors.

Hi there - 

I am inquiring to ask how other art museums operate if managed by a
parent organization that holds the 501(c)(3) IRS non-profit exemption. 
What is the function of the parent organization? Do you have separate
boards for the museum and for the parent organization? And if yes, does
the museum board report to the parent board (i.e. Board of Trustees).
Does the parent organization also manage other arts organizations (i.e.
performing arts, public art)? Does the parent organization have staff
that engages in fundraising for the museum and the other organizations?
Are there conflicts when applying for grants?
