AAM published a Technical Information Service Resource Pack entitled, 
"Foundations of Governance for Museums in Non-Museum Parent 
Organizations."  It includes sample by-laws, Memoranda of
Understanding, 
organizational diagrams, etc.  I think it would be very useful for you.

Perhaps the AAM bookstore still has it.
