I am assisting a small historical museum that will be revising its by-laws.

The Museum is managed by a Board of Directors that manages the museum and owns the collections. However, the museum building and land is owned by the City. The City pays the utilities and repairs for the building and insures the collections. Due to financial reasons, the Director and Curator became City employees. The museum has another employee that is paid by museum and not the City. 

Does anyone know of another museum with a similar structure?

This museum is needing to revise their by-laws to reflect this recent change. The Board is unsure about the organizational structure as they would not have the ability to hire and fire as well as what role they would have in hiring and firing. The Board is also unsure about supervision between city and non-city employees. The Board and City is also needing advice and assistance in drafting a memorandum of understanding/agreement to outline the responsibility of each organization.
