Sally--

First piece of advice--DON'T! There are too many small 501(c)(3)s that get
started when their founders have a great idea but a
not-very-realistic-picture of what is involved in starting and funding a
non-profit. In very many of these cases, the same "great idea" might be
done under the aegis of an existing organization. But sometimes the
autonomy drive prevents the collaboration that would benefit all parties more.

So think about whether you *really, really* need to incorporate your own
entity.

And if that answer is yes, then the following sites will serve as good
starting places:

NPO FAQ
http://www.nonprofits.org/npofaq/keywords/1l.html

One of the classic books in the field is Anthony Mancuso's How to Form a
Non-profit Corporation from Nolo Press.

See more information (although a little old--from 1996) at:

Good luck!
