I agree with Nicholas Burlakoff.  If you are seeking legal obligations of
board members of 501c3 organizations, these such obligations are normally
governed by the laws of each state.  Most states have codified the way
nonprofits will operate (also board responsibilities) as nonprofit
corporation acts.  Check with your state's Secretary of State, or whatever
office in your state that governs corporations, to get a copy of the law.
The law should specify the legal requirements of boards as well as the
corporation.  Hope this helps.
