In the first instance, I stand with the others who feel this case, as
stated, is a conflict or could be seen as a conflict of interest and
therefore unwise.   However, I have seen where one non profit
institution resolved this type of situation by the board voting to
accept a member's contriubution of expertice, of work or whatever, in
lieu of trustee's dues.   Now then, if dues are nominal, this won't
get very far, but if dues are substantial, it opens up a way for both
parties to benefit.  And by having the board vote to accept it makes
it a matter of public knowledge.
