Hope this helps:
Special Non-Voting Members - The Board may, at its option, create
additional special non-voting categories of Board membership. These
categories might include, but not be limited to, "Life Trustees" or
"Emeritus Trustees." Such special members of the Board shall enjoy all
other pre-requisites of Board membership. The Board may elect these
special, non-voting members without approval of the members of the
corporation.
