Some fundamental points I would recommend to consider in this process, would
be:
1) Before making any changes make sure that both the Articles of
Incorporation and by-laws of the museum allow for the changes you want to
make, and that both conform to your state's laws. If the proposed changes go
against either you will have problems unless either, or both, are changed to
reflect the new reality. For changes in Articles of Incorporation I
recommend legal assistance, for by-laws changes I recommend following the
by-laws exactly.
2) Based on my own experience, for most smaller institutions I would
recommend the fewest number of standing (permanent) committees possible
(Executive, Financial, Audit, Nominations, Collections) with all others
being ad-hoc committees. The wording of the mission of each is less
significant than a clear understanding of the fundamental role of each
committee. You can get specific wordings from any number of books or
websites dealing with non-profit/museum governance. One book I recommend to
non-specialists, who need quick and solid information, is the Nonprofit
Handbook by Gary M. Grobman.
